В Астане открывается офис американской компании, которая будет осваивать крупное месторождение твердых полезных ископаемых (открытый способ добычи). Компания сейчас находится на стадии регистрации офиса, но уже работают два американца (CEO and Operational manager). Они говорят только на английском! Идет формирование офисной команды. Бюджет зарплаты пока формируется из ожиданий кандидатов, озвученных на интервью (т.е. будет взята МЕДИАНА). Хорошее знание английского языка обязательно. Казахский – очень желательно. Офис компании находится на Левом берегу АСТАНЫ, проспект Туран. Работа оффлайн.

The role translates Kazakhstan legal requirements into operational project deliverables and ensures that all engineering, procurement and project execution activities comply with:

Subsoil Use Contract

Applicable regulatory frameworks
The role is the legal gatekeeper for project progression through DFS → FID → execution.
a.Essential:
•10–15 years’ experience in legal roles within Kazakhstan.
•Strong knowledge of Kazakhstan Subsoil Code, Environmental Code and regulatory framework.
•Experience working with large infrastructure or mining projects.
•Qualified lawyer in Kazakhstan (mandatory).
•Strong experience in contract law and regulatory compliance.
b.Desirable:
•Experience working with international companies or joint ventures.
•Experience supporting project financing and lender due diligence.
•Experience in mining or energy sector.
•Knowledge of international compliance frameworks.
•Technical & Professional: Legal compliance, contract law, regulatory frameworks and risk management.
•Leadership & Behavioral: Integrity, judgement, attention to detail and decision-making.
•Systems & Tools: Legal documentation systems, contract management tools and reporting systems.
Обязанности:

Ensure compliance with Subsoil Use Contract obligations including monitoring of work program execution and reporting requirements;

Translate Subsoil Code and Environmental Code requirements into project deliverables including permits, approvals and reporting obligations;

Review and approve all contracts to ensure compliance with Kazakhstan procurement law and Subsoil Code requirements;
-
Ensure all permitting and regulatory approvals are legally valid, correctly sequenced and aligned with project schedule;
-
Establish and maintain a legal compliance framework covering procurement, contracting and regulatory approvals;
-
Ensure compliance with local content requirements and regulatory procurement obligations;
-
Manage legal interface with government authorities and regulators at national and regional level;

Identify legal risks impacting project execution and ensure mitigation strategies are implemented;
-
Ensure all project documentation and approvals meet lender and audit requirements;
-
Support legal aspects of project financing and ensure compliance with international lender requirements;

Manage external legal advisors and ensure quality and consistency of legal advice;
-
Support dispute resolution and claims management processes;
-
Assist in development of corporate governance frameworks;
-
Provide legal support to senior management and Board as required.
